The agreement between you and House Of Velari.

Please read these Terms of Service carefully. They include important information about your legal rights, including warranty disclaimers and limitations of liability. By using our website or placing an order you agree to be bound by these Terms and our Privacy Policy.

Overview

House Of Velari is a trading name of R&R Brands Ltd, a company registered in England and Wales with its registered office at 27 Old Gloucester Street, London, WC1N 3AX, United Kingdom ("House Of Velari", "we", "us", "our"). We operate this store and website, including all related content, features, tools, products and services, to provide you with a curated shopping experience (the "Services"). Our store is powered by Shopify, which enables us to provide the Services to you.

These terms, together with any policies referenced in them (the "Terms"), describe your rights and responsibilities when you use the Services. If you do not agree to these Terms or our Privacy Policy, you should not use the Services.

1. Access and account

By agreeing to these Terms you represent that you are at least 18 years of age, or the age of majority in your state of residence, and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own or manage.

To use the Services, including browsing our store or purchasing products, you may be asked to provide information such as your email address, billing, payment and shipping information. You represent that all information you provide is correct, current and complete. You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

We make every effort to represent our products accurately. However, colors and product appearance may differ from how they appear on your screen due to your device and its settings. We do not warrant that the appearance or quality of any product will meet your expectations or be identical to how it is depicted in our store.

Product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product at any time and to limit the quantities of any products we offer to any person, geographic region or jurisdiction.

3. Orders

When you place an order you are making an offer to purchase. We reserve the right to accept or decline your order for any reason at our discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted. Please review your order carefully; cancellations may not be possible after acceptance, as set out in our Return & Refund Policy.

If we do not accept, change or cancel an order, we will attempt to notify you using the email, billing address or phone number provided at the time of purchase. Purchases are subject to return or exchange solely in accordance with our Return & Refund Policy. You represent that your purchases are for your own personal or household use and not for commercial resale or export.

4. Prices, taxes and billing

All prices are shown in US dollars (USD). Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as set out in your order confirmation email. Applicable state and local sales tax is calculated and shown at checkout. Standard shipping within the United States is free.

You agree to provide current, complete and accurate purchase, payment and account information, and to promptly update it so that we can complete your transactions and contact you as needed. You represent that the payment information you provide is true and complete, that you are authorized to use the payment method, that charges will be honored by your card issuer or payment provider, and that you will pay the charges incurred at the posted prices, including all applicable taxes.

5. Shipping and delivery

All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather or events outside our control. Title and risk of loss pass to you once we transfer the products to the carrier, except that we will replace or refund tracked parcels confirmed lost in transit as described in our Shipping Policy.

The Services, including all trademarks, brands, text, images, graphics, product reviews, video and audio, and their design, selection and arrangement, are owned by House Of Velari, R&R Brands Ltd, our affiliates or licensors, and are protected by United States, United Kingdom and international copyright and intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Services without our prior written consent. Nothing in these Terms grants you any license or rights under any patent, trademark, copyright or other intellectual property of House Of Velari, Shopify or any third party.

The House Of Velari name, logo, product and service names, designs and slogans are trademarks of R&R Brands Ltd. You must not use them without our prior written permission.

7. Optional tools

We may give you access to third-party tools which we neither monitor nor control. Such tools are provided "as is" and "as available" without warranties of any kind, and we have no liability arising from your use of them. Any use is entirely at your own risk.

8. Third-party links

The Services may contain links to third-party websites. We are not responsible for examining or evaluating their content or accuracy, and we are not liable for any harm or damages related to your use of them or your purchase of products from them. Please review the third party's policies before engaging in any transaction.

9. Relationship with Shopify

Our store is powered by Shopify. Any sales and purchases you make in our store are made directly with House Of Velari. By using the Services you acknowledge that Shopify is not responsible for any aspect of any sale between you and us, and you release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with us.

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your use of the Services, and information you submit may be transmitted to and shared with Shopify and third parties that may be located in countries other than where you reside.

11. Feedback and reviews

If you submit ideas, suggestions, feedback, reviews or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use. We may terminate this agreement or your access to the Services at our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. The sections on Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law and Privacy survive termination.

16. Disclaimer of warranties

Information on the Services is provided for general information purposes only. We do not warrant its accuracy, completeness or usefulness, and any reliance you place on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY HOUSE OF VELARI, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL HOUSE OF VELARI, R&R BRANDS LTD, OR OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM, EVEN IF ADVISED OF THEIR POSSIBILITY. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO IN THOSE STATES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend and hold harmless House Of Velari, R&R Brands Ltd, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of your breach of these Terms, your violation of any law or the rights of a third party, or your access to and use of the Services. We may control the defense and settlement of any such claim at your expense, but will not settle any claim requiring non-monetary obligations from you without your consent, not to be unreasonably withheld.

19. Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall be enforceable to the fullest extent permitted by law and the unenforceable portion deemed severed, without affecting the validity of the remaining provisions.

20. Waiver and entire agreement

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms and any policies posted on the Services constitute the entire agreement between you and us and supersede any prior agreements or communications, oral or written.

21. Assignment

You may not delegate, transfer or assign these Terms or any of your rights or obligations without our prior written consent. We may transfer, assign or delegate these Terms and our rights and obligations without consent or notice to you.

22. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, and you and House Of Velari submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising under them, except where applicable US federal or state law requires otherwise. Nothing in these Terms limits any rights you have as a consumer under the laws of the state in which you reside that cannot be waived by agreement.
